1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cenrixa ("Company," "we," "us," or "our") governing your access to and use of the Cenrixa platform, including our website at cenrixa.com, web application, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

For Business Users: If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

2. Description of Service

Cenrixa is a cloud-based project management and team collaboration platform that provides:

  • Project and task management with customizable workflows
  • Secure, end-to-end encrypted team messaging
  • File storage and sharing with encryption at rest
  • Time tracking and reporting
  • Goal tracking and progress monitoring
  • Collaborative whiteboards and documents
  • Team check-ins and status updates
  • AI-powered assistance features
  • Third-party integrations

The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use Cenrixa, you must:

  • Be at least 16 years of age (or the age of digital consent in your jurisdiction)
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable law
  • Provide accurate and complete registration information

3.2 Account Registration

When you create an account, you must provide accurate, current, and complete information, including:

  • Your company or organization name
  • A valid work email address
  • A secure password meeting our minimum requirements

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Safeguarding your encryption recovery key (if applicable)
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach at security@cenrixa.com

Important: Due to our zero-knowledge encryption architecture, if you lose your password and recovery key, we cannot recover your encrypted data. You are solely responsible for securely storing your recovery key.

4. Subscriptions and Billing

4.1 Subscription Plans

We offer the following subscription plans:

Enterprise C$12.00/user/month For large organizations (unlimited users)

Prices are shown in Canadian Dollars (CAD) and may vary based on your billing currency. Equivalent pricing in EUR, GBP, and USD is available at checkout.

4.2 Billing Terms

  • Billing Cycle: Subscriptions are billed monthly or annually, as selected at purchase
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
  • Payment Methods: We accept major credit cards and other payment methods as displayed at checkout
  • Taxes: Prices exclude applicable taxes (VAT, GST, HST), which will be added at checkout based on your location
  • Currency: Billing is processed in your selected currency through our payment processor, Stripe

4.3 Price Changes

We may change our prices at any time. Price changes will:

  • Be communicated at least 30 days before taking effect
  • Apply to the next billing cycle following the notice period
  • Not affect the current billing period

If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

5. Free Trial

We offer a 14-day free trial for new accounts. During the trial:

  • You have access to all features of your selected plan
  • No payment information is required to start
  • Your trial will not automatically convert to a paid subscription
  • You will receive reminders before your trial expires
  • After the trial, you must subscribe to continue using the Service

We reserve the right to modify or discontinue the free trial at any time.

6. Cancellation and Right to Withdraw

6.1 Your Right to Cancel

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to all features until the period ends
  • No further charges will be made after cancellation
  • Your data remains available for export until account deletion

6.2 Right of Withdrawal (EU/UK Consumers)

For EU and UK Consumers: Under the Consumer Rights Directive (EU) and Consumer Contracts Regulations 2013 (UK), you have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period expires 14 days from the day of contract conclusion. To exercise this right, you must inform us of your decision to withdraw by a clear statement (e.g., email to support@cenrixa.com).

If you begin using the Service during the withdrawal period, you will be liable to pay for the Service provided up to the point of withdrawal. By clicking "Start free trial" or subscribing, you expressly consent to the Service being provided immediately and acknowledge that you lose your right of withdrawal once the Service has been fully performed.

6.3 Refunds

Refunds are handled as follows:

  • Within 14 days (EU/UK): Full refund upon withdrawal request, minus value of services used
  • Annual subscriptions: Pro-rata refund may be available within 30 days of purchase, at our discretion
  • Monthly subscriptions: No refunds for partial months after the withdrawal period
  • All users: Refunds for service disruptions caused by us will be considered on a case-by-case basis

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must NOT:

7.1 Prohibited Content

  • Upload, store, or share content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Store or transmit content that infringes intellectual property rights of others
  • Use the Service to distribute malware, viruses, or other malicious code
  • Store or process sensitive personal data in violation of applicable privacy laws

7.2 Prohibited Activities

  • Access the Service by any means other than our official interfaces
  • Attempt to probe, scan, or test the vulnerability of our systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated means (bots, scrapers, etc.) to access the Service without our permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Resell, sublicense, or provide the Service to third parties without authorization
  • Use the Service to send spam or unsolicited communications
  • Circumvent any security measures or access controls

7.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including:

  • Warning users about violations
  • Removing or disabling access to offending content
  • Suspending or terminating accounts
  • Reporting illegal activities to law enforcement

8. User Content and Data

8.1 Your Content

You retain all ownership rights to the content you create, upload, or store using the Service ("User Content"). By using the Service, you grant us a limited license to:

  • Store and process your User Content as necessary to provide the Service
  • Create backups for disaster recovery purposes
  • Display your User Content to authorized users you designate

This license is non-exclusive, royalty-free, and limited to what is necessary to provide and improve the Service.

8.2 User Responsibilities

You are solely responsible for:

  • The accuracy, quality, and legality of your User Content
  • Ensuring you have the right to upload and share your User Content
  • Maintaining backups of your important data
  • Complying with data protection laws when processing personal data of others

8.3 Data Processing Agreement

If you process personal data of EU/UK/Canadian residents using our Service, you may require a Data Processing Agreement (DPA). Our standard DPA is available upon request at legal@cenrixa.com.

8.4 Data Export

You can export your data at any time through your account settings. We support export in common formats to ensure data portability.

9. Intellectual Property

9.1 Cenrixa Intellectual Property

The Service, including its design, features, functionality, software, and documentation, is owned by Cenrixa and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9.2 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels
  • Use our trademarks without written permission

9.3 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without obligation to you.

10. Privacy and Data Protection

10.1 Privacy Policy

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2 GDPR Compliance (EU/UK Users)

For users in the European Economic Area (EEA) and United Kingdom:

  • We act as a data processor for your User Content and as a data controller for account information
  • We process data based on contractual necessity, legitimate interests, and consent where required
  • We have implemented appropriate technical and organizational measures to protect personal data
  • You have rights including access, rectification, erasure, and data portability
  • International data transfers are protected by Standard Contractual Clauses

10.3 PIPEDA Compliance (Canadian Users)

For users in Canada:

  • We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA)
  • We collect only information necessary to provide the Service
  • We obtain consent before collecting, using, or disclosing personal information
  • You have the right to access and correct your personal information

10.4 Quebec Law 25 Compliance

For users in Quebec, we additionally comply with the Act respecting the protection of personal information in the private sector, including requirements for:

  • Privacy impact assessments for high-risk processing
  • Incident notification and breach reporting
  • Transparency in automated decision-making

11. Security and Encryption

11.1 Our Security Measures

We implement comprehensive security measures, including:

  • End-to-End Encryption: Messages and sensitive data are encrypted using AES-256-GCM
  • Zero-Knowledge Architecture: We cannot access your encrypted content
  • Transport Security: All data in transit is protected with TLS 1.3
  • Infrastructure Security: Hosted on enterprise-grade secure cloud infrastructure
  • Two-Factor Authentication: Available for all accounts
  • Regular Security Audits: Conducted by independent security professionals

11.2 Shared Security Responsibility

While we secure our infrastructure and Service, you are responsible for:

  • Using strong, unique passwords
  • Enabling two-factor authentication
  • Securing devices used to access the Service
  • Managing user access within your organization
  • Reporting security concerns promptly

12. Service Availability

12.1 Uptime Commitment

We strive to maintain high availability of the Service. While we do not guarantee 100% uptime, we aim for 99.9% availability and will:

  • Perform scheduled maintenance during low-usage periods with advance notice
  • Respond promptly to unplanned outages
  • Communicate service status through our status page

12.2 Service Modifications

We may modify, update, or discontinue features of the Service. For significant changes, we will:

  • Provide reasonable advance notice
  • Offer alternatives where possible
  • Allow data export before discontinuation

13. Warranties and Disclaimers

13.1 Service Warranty

We warrant that:

  • The Service will perform substantially as described in our documentation
  • We will provide the Service with reasonable skill and care
  • We have the right to grant you access to the Service

13.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The Service will meet all your requirements
  • Any defects will be corrected
  • Results obtained from the Service will be accurate or reliable

13.3 Consumer Rights Protection

For EU/UK Consumers: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 (UK) or the Consumer Rights Directive (EU). If the Service is not as described or not fit for purpose, you may be entitled to a refund, repair, or replacement.

For Canadian Consumers: Provincial consumer protection laws may provide additional rights that cannot be excluded by contract.

14. Limitation of Liability

14.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENRIXA SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute services
  • Damages arising from unauthorized access to or alteration of your data

14.2 Liability Cap

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amounts paid by you in the 12 months preceding the claim, OR
  • One hundred Canadian dollars (CAD $100)

14.3 Exceptions

The limitations in this section do not apply to:

  • Liability for death or personal injury caused by negligence
  • Liability for fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law
  • Your breach of the Acceptable Use Policy

15. Indemnification

You agree to indemnify, defend, and hold harmless Cenrixa and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

For EU/UK Consumers: This indemnification obligation does not apply to the extent that you are not at fault.

16. Termination

16.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription in account settings
  • Requesting account deletion via support@cenrixa.com

16.2 Termination by Us

We may suspend or terminate your account if:

  • You breach these Terms and fail to cure within 30 days of notice (where curable)
  • You engage in illegal activities or serious violations of the Acceptable Use Policy
  • Your account remains unpaid for more than 30 days past due
  • Required by law or court order

16.3 Effect of Termination

Upon termination:

  • Your right to access the Service ends immediately
  • We will provide a 30-day period to export your data (except in cases of serious violations)
  • Your data will be deleted in accordance with our Privacy Policy
  • Provisions that by their nature should survive will remain in effect (including intellectual property, limitation of liability, and dispute resolution)

17. Governing Law and Disputes

17.1 Governing Law

These Terms are governed by and construed in accordance with:

  • For Canadian users: The laws of the Province of Ontario and the federal laws of Canada
  • For EU users: The laws of your country of residence, with mandatory EU consumer protection laws applying
  • For UK users: The laws of England and Wales, with mandatory UK consumer protection laws applying
  • For all other users: The laws of the Province of Ontario, Canada

17.2 Dispute Resolution

Before initiating formal proceedings, you agree to contact us at legal@cenrixa.com to attempt to resolve the dispute informally.

17.3 EU/UK Consumers - Alternative Dispute Resolution

If you are a consumer in the EU or UK and we cannot resolve your complaint, you may be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17.4 Jurisdiction

Any legal proceedings shall be brought in the courts of:

  • Canadian users: Toronto, Ontario, Canada
  • EU/UK consumers: Your country of residence or Toronto, Ontario (at your choice)
  • Other users: Toronto, Ontario, Canada

18. Changes to Terms

We may modify these Terms from time to time. When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • For material changes, we will notify you by email and/or prominent notice in the Service at least 30 days before the changes take effect
  • Your continued use of the Service after the effective date constitutes acceptance of the new Terms
  • If you do not agree to the changes, you must stop using the Service before the effective date

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Cenrixa regarding the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

19.5 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.6 Language

These Terms are written in English. Translations may be provided for convenience, but the English version governs in case of any conflict.
